Executive Compensation Expert Gregory Schick Joins Sheppard Mullin San Francisco
Gregory C. Schick has joined the San Francisco office of Sheppard Mullin Richter & Hampton LLP as a partner in the firm’s Tax/Employee Benefits/Trusts & Estates practice group. Schick most recently practiced with Orrick, Herrington & Sutcliffe LLP in San Francisco.
Schick’s practice focuses primarily in the executive compensation, corporate securities laws and corporate governance areas and he advises both public and privately held companies as well as individual clients. He negotiates, prepares and reviews equity compensation and change of control plans/agreements, Rule 10b5-1 trading plans along with proxy statements, prospectuses, and other filings required by the 1933/1934 Securities Acts and the national stock exchanges. Schick also regularly represents senior level executives and companies in employment and separation agreement matters and is currently engaged in the preparation of a new portfolio for the Bureau of National Affairs (BNA) on executive employment agreements.
Schick has developed numerous quantitative models to analyze, among other things, golden parachutes, personal aircraft use and other executive compensation arrangements. He has also developed automated tools for complying with the SEC’s executive compensation disclosure rules.
“Greg’s stellar reputation, along with his proven expertise in the legal and financial aspects of executive compensation, is an ideal complement to our strong tax and employee benefits group. As our clients are facing unparalleled regulatory and governance challenges, the timing couldn’t be better to add Greg to our team,” said Guy Halgren, chairman of the firm.
Commented Schick, “I am delighted to be joining such a talented group of attorneys who are devoted to finding optimal ways to help companies across the country with their executive compensation, tax and securities laws compliance needs. It will be exciting to work with my new Sheppard Mullin colleagues to help the firm’s clients achieve their objectives in this increasingly important and complex area.”
“Competitive and tax-effective compensation structures are essential to corporations and their employees, and attorneys with Greg’s experience are very hard to find. His legal experience in conjunction with his significant business, financial, strategic planning and investment analysis knowledge obtained during his years at Lockheed Martin Corporation demonstrate that Greg possesses a unique and impressive array of skills. His invaluable expertise will be a major asset to our clients,” said John Bonn, chair of Sheppard Mullin’s Tax/Employee Benefits/Trusts & Estates practice group.
“The firm’s San Francisco office continues its expansion and we are thrilled to have Greg join us,” said Betsy McDaniel, managing partner of the firm’s San Francisco office. “His arrival broadens the office’s breadth of practice expertise in an area that is critical to Bay Area companies, as well as to clients across the country.”
Schick received a B.A., with honors, and an M.A., each in Business Economics, from the University of California at Santa Barbara, and his J.D. from the University of California, Hastings College of The Law in 1995 where he received the Arthur Andersen Prize in Taxation for outstanding scholarship.
Schick is the second Hastings graduate to join Sheppard Mullin’s San Francisco office as a partner in as many months. Scott Hennigh, who received his J.D. in 1996 from Hastings, joined the firm on May 25 from Thelen Reid Brown Raysman & Steiner LLP.
