[private]Macfarlanes has announcd the appointment of a new tax partner with effect from 1 May 2009.

Damien Crossley advises on a broad range of corporate tax issues and specialises in private equity related tax matters. In this area, he advises on the establishment of private equity, special situation and similar funds and their carried interest and co-investment arrangements, and on structuring pan-European investment transactions (both primary and secondary).

Damien spent 2005 on secondment in New York. Most of his work has an international dimension; a number of the transactions listed below, on which Damien led on tax structuring, have minimal connection with the UK. Damien is a chartered tax adviser and regularly speaks and writes on tax matters.

Recent highlights include advising Mitsubishi Rayon on its $1.6 billion acquisition of Lucite International; Goldman Sachs on the €1.2 billion acquisition of and investment in ABN AMRO’s UK, Netherlands and Nordic private equity portfolio; Phoenix Equity Partners on the £95 million acquisition of Ashtead Technology Rentals; Oaktree Capital on a number of buy-outs including the public to private takeover of Polmos Lublin, the Polish Vodka producer, the acquisition of the European spirits business of Eckes & Stock and the subsequent merger of those groups to form the Stock Spirits Group; Alchemy Special Opportunities LLP on the Alchemy Special Opportunities Fund; Syntaxis Capital on a number of investments in central and eastern Europe; Abraaj Capital on its acquisition of Egyptian Fertilizers Company; Oak Hill Capital Partners on its £945 million buy-out of Firth Rixson; and CBPE Capital on a number of deals including the acquisitions of Aqualisa Showers, Waltons Timber and Norbain.

Andrew Perkins advises banks, other financial institutions, borrowers and sponsors on a wide range of financing transactions, including leveraged buy-outs, restructurings, investment fund facilities, CLOs and property investment and development facilities. Andrew was seconded to The Royal Bank of Scotland in 2005.

Recent highlights include advising The Royal Bank of Scotland on opco/propco facilities for Cygnet Health Care; The Royal Bank of Scotland on the leveraged buy-outs and refinancings of various companies including Clarion Events, Towry Law and Castlebeck; a number of banks, financial institutions and sponsors on the restructuring of their portfolio companies (including through application of formal insolvency processes); Lloyds TSB Bank and The Royal Bank of Scotland on various equity bridging, fund leverage and guarantee facilities; Abraaj Capital on the $1.2 billion debt facilities for the leveraged buy-out of Egyptian Fertilizers Company; Partners Group on €250 million warehouse facilities for Penta 1 CLO; and Aladdin Capital Management on €280 million warehouse facilities for Hudson CLO3 BV.
