Manan Shah resigns from Jones Day to join Milbank’s Tax Group in NY office
Milbank, Tweed, Hadley & McCloy announced that employee benefits and executive compensation attorney Manan “Mike” Shah has joined the firm’s Tax Group as a partner in the New York office.
Mr. Shah advises compensation committees and boards of directors on corporate governance and executive compensation matters. He also advises public companies on benefits and executive compensation issues across a broad range of corporate transactions, including mergers & acquisitions, reorganizations and restructurings, friendly and hostile tender offers, divestitures, and public offerings. He counsels clients on tax regulations and SEC disclosure requirements related to executive compensation. He also handles general corporate governance matters as well as the negotiation of employment and separation and change-of-control severance agreements.
He has advised companies on benefits and compensation issues across numerous industries, including telecom, financial services, insurance, consumer products, food, security and others.
Mr. Shah arrives from Jones Day in New York, where he was a partner. He has written extensively on executive compensation, corporate governance and tax issues, and is a frequent commentator in financial media on governance and compensation issues.

The group also advises clients on regulations governing investments of benefit plans.

He earned his law degree from Yeshiva University’s Benjamin N. Cardozo School of Law, and a B.A. from the City College of New York.
